Notions of Business Law

Business Law, also known as Commercial Law, is an area of ​​private law that can be understood as the set of rules governing the business activity of the entrepreneur, and of any natural or legal person, intended for purposes of an economic nature, provided that it is customary and aimed at the production of goods or services conducive to patrimonial or profitable results, and that is characterized by the systematic practice of acts of commerce.

1. Concept and Function of Business Law

Business Law is the branch of law that studies the private relationships involving the company and the entrepreneur. These relationships include issues of civil law, commercial law, intellectual and industrial property rights, corporate law, contractual law, labor law, tax law, among others.

The function of Business Law is to regulate business activities, offering security and predictability for those who undertake and for those who negotiate with the entrepreneur. In addition, Business Law also has an important social function, as it seeks to balance the interests of entrepreneurs with the interests of society.

2. Principles of Business Law

The principles are the fundamental guidelines of Business Law. Among the most important, free initiative, free competition, the company's social function and objective good faith stand out.

Free enterprise and free competition are constitutional principles that guarantee everyone the right to undertake and compete in the market. The social function of the company is the principle that establishes that business activity must be carried out in a way that contributes to the development of society. Objective good faith is the principle that requires the parties involved in business relationships to act with honesty and loyalty.

3. Business Law Institutes

Business Law is made up of several institutes, which are the legal structures that regulate business activity. Among the most important are the company, the entrepreneur, the business company, the business establishment, the credit titles, the industrial property and the business contract.

4. Company and Businessman

A company is an economic activity organized for the production or circulation of goods or services. The entrepreneur is the natural or legal person who professionally carries out the business activity.

5. Business Society

The business company is the legal entity that carries out the business activity. It is formed by the union of two or more people, who undertake to contribute with goods or services for the exercise of the company.

6. Business Establishment

The business establishment is the set of goods organized for the exercise of the company. It includes the place where the company is carried out, furniture and fixtures, goods, machinery and equipment, industrial property rights, among others.

7. Credit Securities

Titles of credit are documents that represent a pecuniary obligation. They are widely used in business relationships to facilitate the circulation of credit.

8. Industrial Property

Industrial property is the right that the entrepreneur has over trademarks, corporate names, invention patents, utility models, industrial designs and other distinctive signs that identify his company and its products or services in the market.

9. Business Contract

The business contract is the agreement of wills that produces legal effects within the scope of business activity. It is used to regulate relations between entrepreneurs and between them and their customers, suppliers, employees, among others.

In short, Business Law is an extremely important area of ​​law for economic activity, as it offers the rules and legal instruments necessary for the organization and operation of companies. Therefore, knowledge of Business Law is essential for the success of the administrative assistant.
